1. Introduction
These Terms of Service ("Terms") govern access to and use of the Celia Med website, platform, applications, patient-facing services, integrations, and related products and services collectively referred to as the "Services".
The Services are provided by Celia Med Ltd ("Celia Med", "we", "us", or "our").
By accessing or using Celia Med, you agree to these Terms.
If you access Celia Med on behalf of a hospital, clinic, diagnostic centre, pharmacy, healthcare organisation, company, or other legal entity, you represent that you are authorised to use the Services on behalf of that organisation.
Healthcare organisations may also enter into separate subscription agreements, order forms, implementation agreements, Data Processing Agreements, or other written contracts with Celia Med. Where a signed agreement expressly conflicts with these Terms, the signed agreement will apply to the extent of that conflict.
2. About Celia Med
Celia Med is a digital healthcare management platform designed to help healthcare organisations manage clinical, operational, and administrative activities.
Depending on the Services enabled for a healthcare organisation, Celia Med may support functions including:
- patient registration;
- appointment scheduling;
- patient queues;
- vital signs;
- nursing workflows;
- consultations;
- clinical documentation;
- prescriptions;
- laboratory services;
- imaging and investigations;
- pharmacy;
- medication management;
- billing and payments;
- inventory management;
- admissions;
- ward and bed management;
- inpatient records;
- clinical orders;
- medication administration;
- care plans;
- patient monitoring;
- discharge;
- patient portals;
- reporting;
- staff management;
- roles and permissions;
- audit records;
- multi-branch operations; and
- related healthcare and administrative workflows.
The features available to a particular user depend on the healthcare organisation, subscription, configuration, permissions, and current Celia Med product version.
3. Celia Med Is a Technology Provider
Celia Med provides healthcare technology.
Unless expressly stated otherwise in relation to a separately regulated service, Celia Med does not itself provide medical diagnosis, treatment, nursing care, pharmaceutical care, laboratory services, or other professional healthcare services.
Healthcare services recorded, coordinated, or facilitated using Celia Med are provided by the relevant:
- hospital;
- clinic;
- healthcare professional;
- laboratory;
- diagnostic centre;
- pharmacy; or
- other healthcare provider.
Celia Med does not replace the professional judgment of qualified healthcare personnel.
Healthcare professionals remain responsible for independently reviewing relevant information and exercising appropriate professional judgment when providing care.
4. No Emergency Medical Service
Celia Med is not an emergency-response service.
If you are experiencing a medical emergency, you should contact the appropriate emergency service, healthcare facility, or qualified healthcare professional immediately.
Celia Med may provide functionality that helps healthcare organisations record, communicate, or escalate urgent clinical events.
However, alerts, notifications, escalation workflows, clinical indicators, or similar platform features:
- do not replace emergency procedures;
- do not guarantee that a medical emergency will be detected;
- do not guarantee that an alert will be received or acted upon within a particular period; and
- do not remove the healthcare organisation's responsibility to maintain appropriate emergency-response procedures.
5. Eligibility and Authority to Use Celia Med
You may use Celia Med only where:
- you are legally permitted to do so;
- you have been authorised by the relevant healthcare organisation; or
- you are using an authorised patient-facing service.
Healthcare professionals are responsible for maintaining any licence, registration, qualification, or professional authorisation required for their role.
Access to a feature within Celia Med does not itself authorise a person to perform a regulated healthcare activity.
6. Healthcare Organisation Responsibilities
Healthcare organisations using Celia Med are responsible for the healthcare services they provide and for the lawful use of the platform within their organisation.
This includes responsibility for:
- obtaining any permissions, consents, or lawful bases required to process patient information;
- maintaining appropriate clinical and professional standards;
- providing appropriate staff training;
- maintaining accurate patient and organisational information;
- assigning appropriate roles and permissions;
- reviewing user access;
- removing access when staff no longer require it;
- maintaining appropriate emergency and business-continuity procedures;
- protecting devices and local networks;
- complying with applicable healthcare and privacy requirements;
- validating information migrated from previous systems;
- appropriately reviewing clinical information before relying on it;
- ensuring that staff use Celia Med only for authorised purposes; and
- complying with the healthcare organisation's agreement with Celia Med.
7. User Accounts
Users may be required to create or receive an account before accessing Celia Med.
You are responsible for:
- providing accurate account information;
- keeping your credentials secure;
- maintaining control over your authentication methods;
- preventing unauthorised access to your account;
- using multi-factor authentication where required;
- immediately reporting suspected account compromise; and
- using your account only for authorised purposes.
Healthcare personnel should use individual accounts where required.
You must not share credentials with another person unless Celia Med expressly supports an authorised shared-access workflow.
You are responsible for activity performed through your account to the extent permitted by applicable law, except where unauthorised activity results directly from a failure by Celia Med to meet an applicable legal or contractual responsibility.
7.1 Google Sign-In
Where Celia Med offers Sign in with Google, you may choose to authenticate using your Google Account. Your use of Google Sign-In is also subject to Google's applicable terms and privacy policies.
By choosing Google Sign-In, you authorise Celia Med to receive the Google account information and permissions presented to you during the Google authentication or consent process. Celia Med will use that information only for the purposes described in the Celia Med Privacy Policy and in accordance with applicable Google API policies.
You must not use Google Sign-In to access a Celia Med account that you are not authorised to use. You remain responsible for maintaining appropriate control over your Google Account and for promptly reporting suspected unauthorised access to your Celia Med account.
Revoking Celia Med's access through your Google Account may prevent you from using Google Sign-In until another supported authentication method is configured. Revocation of Google access does not automatically terminate your Celia Med account or require deletion of records that Celia Med or a healthcare organisation must retain under applicable healthcare, legal, security, audit, or regulatory obligations.
8. Roles and Permissions
Celia Med may allow healthcare organisations to assign roles and permissions to users.
Roles may include, depending on configuration:
- hospital administrators;
- doctors;
- nurses;
- laboratory personnel;
- pharmacists;
- reception or front-desk personnel;
- finance personnel;
- records personnel;
- imaging personnel; and
- other authorised organisational roles.
Healthcare organisations may also be able to configure additional roles or permissions.
The availability of a permission does not mean that every user should receive it.
Healthcare organisations are responsible for assigning access according to legitimate responsibilities and the principle of appropriate or least-privilege access.
9. Acceptable Use
You must use Celia Med only for lawful and authorised purposes.
You must not:
- access a patient's information without a legitimate authorised reason;
- browse medical records out of curiosity;
- impersonate another person;
- improperly share account credentials;
- deliberately enter false or misleading clinical information;
- alter records to conceal misconduct or an error;
- interfere with audit histories;
- attempt to bypass access controls;
- attempt to access another healthcare organisation's information without authorisation;
- exploit security vulnerabilities;
- introduce malware or harmful code;
- disrupt or overload the Services;
- conduct unauthorised penetration testing or security testing;
- scrape or extract information through unauthorised automated means;
- use Celia Med to violate privacy or confidentiality rights;
- use the Services to facilitate fraud or unlawful activity;
- reverse engineer the Services except where such restriction is prohibited by law; or
- assist another person in carrying out prohibited activity.
Celia Med may investigate suspected misuse and may suspend or restrict access where reasonably necessary to protect patients, customers, users, or the platform.
10. Patient and Customer Data
As between Celia Med and a healthcare organisation, the healthcare organisation retains its rights in the information submitted to Celia Med by or on its behalf, subject to any rights patients or other individuals have under applicable law.
Celia Med does not become the owner of patient medical records merely because those records are stored or processed using the Celia Med platform.
The healthcare organisation grants Celia Med the rights reasonably necessary to:
- host;
- process;
- transmit;
- secure;
- back up;
- support;
- maintain; and
- otherwise handle
customer information for the purpose of providing the Services and meeting applicable legal and contractual obligations.
The handling of personal information is further described in the Celia Med Privacy Policy and, where applicable, a separate Data Processing Agreement.
11. Accuracy of Clinical Information
Healthcare and patient safety depend on accurate information.
Healthcare professionals and organisations are responsible for reviewing information entered into Celia Med and correcting inaccuracies through appropriate workflows.
Particular care should be taken with information such as:
- patient identity;
- allergies;
- diagnosis;
- medications;
- dosage;
- route of administration;
- frequency;
- laboratory results;
- imaging information;
- vital signs;
- clinical orders;
- admission information; and
- discharge information.
Celia Med may provide validation, alerts, structured workflows, or decision-support features.
Such functionality does not eliminate the responsibility of qualified healthcare professionals to verify information and exercise appropriate professional judgment.
12. Corrections to Healthcare Records
Clinical records may have legal, professional, and patient-safety significance.
Users must not delete, overwrite, or alter clinical information for the purpose of:
- hiding an error;
- concealing misconduct;
- avoiding accountability; or
- falsifying a patient's history.
Where corrections are necessary, they should be made through authorised workflows and in accordance with applicable healthcare-record requirements.
Celia Med may preserve audit information or previous record information where required for accountability, security, or legal purposes.
13. Prescriptions and Medication Management
Where Celia Med provides prescription, dispensing, or medication-administration functionality, the relevant healthcare professionals remain responsible for the professional decisions they make.
The prescribing professional remains responsible for determining whether a medication is clinically appropriate.
Pharmacists and other authorised professionals remain responsible for any independent professional checks required by applicable law, professional standards, or healthcare-organisation policy.
Although Celia Med may provide alerts or validation mechanisms, the platform does not guarantee that it will detect every:
- medication interaction;
- contraindication;
- allergy;
- duplication;
- dosage issue;
- administration error; or
- prescribing error.
14. Laboratory, Imaging, and Diagnostic Services
Celia Med may help healthcare organisations request, record, manage, and review laboratory, imaging, and diagnostic services.
The relevant healthcare organisation and professionals remain responsible for:
- properly collecting specimens;
- performing investigations;
- validating results where required;
- interpreting results;
- maintaining appropriate quality standards; and
- communicating clinically significant or critical findings.
Celia Med does not independently verify the medical accuracy of every result entered into the platform.
15. Patient Portal
Where enabled by a healthcare organisation, patients may access selected information and services through a Celia Med patient-facing portal.
Depending on the configuration, a patient may be able to:
- manage profile information;
- view appointments;
- review eligible laboratory information;
- review invoices;
- receive healthcare communications; or
- access other information approved by the healthcare organisation.
The healthcare organisation determines what clinical information is made available and when.
Patients should contact their healthcare organisation regarding:
- diagnosis;
- treatment;
- prescriptions;
- clinical interpretations;
- missing records;
- incorrect healthcare information; or
- questions about medical care.
The patient portal is not a substitute for contacting a healthcare professional when urgent medical assistance is required.
16. Parents, Guardians, and Proxy Access
Celia Med may support authorised access to patient information by:
- parents;
- guardians;
- caregivers; or
- other authorised representatives.
The relevant healthcare organisation is responsible for determining whether such access is legally and clinically appropriate.
A person using proxy access must:
- use the information only for authorised purposes;
- protect the account and information from unauthorised access; and
- stop accessing the patient's information when their authority expires or is withdrawn.
17. Billing, Payments, and Financial Workflows
Celia Med may provide functionality that supports billing, invoicing, payments, insurance, or other healthcare financial workflows.
Unless expressly stated otherwise, Celia Med is not:
- a bank;
- an insurer;
- a health maintenance organisation;
- a payment-card issuer; or
- a guarantor of insurance claims.
Third-party payment providers may process certain transactions.
Healthcare organisations remain responsible for:
- determining their prices;
- ensuring that charges are accurate;
- managing refunds;
- handling insurance or HMO arrangements;
- managing taxes where applicable;
- reconciling payments; and
- maintaining appropriate financial records.
18. Third-Party Services and Integrations
Celia Med may connect with or depend upon third-party products and services.
These may include services relating to:
- cloud infrastructure;
- authentication;
- file storage;
- communications;
- payments;
- laboratories;
- pharmacies;
- insurers;
- diagnostic systems;
- monitoring;
- healthcare integrations; and
- other external systems.
Some third-party services may be governed by separate terms and privacy policies.
Celia Med is not responsible for the acts, omissions, outages, or independent processing practices of a third party that operates outside Celia Med's reasonable control.
Where a third-party failure affects Celia Med, we will take reasonable steps to manage the impact where appropriate.
19. Data Migration
Healthcare organisations may request assistance migrating information from an existing system into Celia Med.
The healthcare organisation must have lawful authority to provide that information.
The healthcare organisation is responsible for reviewing and validating migrated information before relying on it for healthcare or administrative decisions.
Migration may be subject to separate implementation requirements, fees, technical limitations, and agreed procedures.
20. Security
Celia Med uses technical and organisational safeguards intended to protect the Services and information processed through them.
Depending on the relevant service and configuration, these safeguards may include:
- authentication controls;
- role-based permissions;
- organisation-scoped access;
- encryption;
- audit logging;
- protected communications;
- tenant-separation controls;
- account-security controls;
- backups;
- monitoring; and
- security procedures.
Security is a shared responsibility.
Healthcare organisations are responsible for appropriately securing their:
- staff accounts;
- devices;
- endpoints;
- networks;
- physical facilities;
- local systems; and
- internal access processes.
No internet-connected service can be guaranteed to be entirely free from security threats.
21. Audit Logs and Monitoring
Activities performed within Celia Med may be recorded.
Audit and security logs may be used for purposes including:
- patient safety;
- security;
- regulatory compliance;
- accountability;
- investigating unauthorised access;
- investigating errors;
- fraud prevention;
- technical support; and
- dispute resolution.
Users should understand that professional actions taken within Celia Med may therefore be visible to authorised administrators or other persons with legitimate authority to review those records.
22. Service Availability
Celia Med aims to provide reliable Services.
However, we do not guarantee that the platform will be uninterrupted or available at all times.
Availability may be affected by circumstances including:
- scheduled maintenance;
- emergency maintenance;
- internet disruptions;
- telecommunications failures;
- infrastructure problems;
- third-party outages;
- cybersecurity incidents;
- power failures; or
- circumstances outside Celia Med's reasonable control.
Healthcare organisations must maintain appropriate procedures for continuing critical patient-care operations when Celia Med or internet connectivity is unavailable.
Where a separate Service Level Agreement applies, the terms of that agreement will govern applicable service-level commitments.
23. Offline Functionality
Certain Celia Med services may support limited offline functionality.
Where available, offline functionality is intended to assist healthcare operations during temporary connectivity interruptions.
Users acknowledge that:
- some information may not immediately reflect changes made elsewhere;
- synchronisation may be delayed;
- not every feature is available offline; and
- certain functions require internet connectivity.
Healthcare organisations remain responsible for appropriately securing devices used for offline clinical work.
24. Backups and Business Continuity
Celia Med may maintain backup and recovery mechanisms for hosted Services.
Healthcare organisations must nevertheless maintain appropriate operational and clinical contingency procedures.
Backups are intended to support recovery and continuity and should not be treated by Customers as a substitute for appropriate organisational information-governance practices.
25. Subscriptions and Fees
Some Celia Med Services require a paid subscription.
Applicable information concerning:
- pricing;
- subscription duration;
- included features;
- usage limits;
- implementation fees;
- support arrangements; and
- payment terms
will be provided through the relevant subscription plan, proposal, order form, invoice, or other written agreement.
Unless otherwise stated, applicable taxes and third-party fees may be charged separately.
26. Renewal and Cancellation
Subscription renewal and cancellation will be governed by the applicable subscription plan or written agreement.
Cancelling a subscription does not necessarily result in the immediate deletion of all healthcare information.
Clinical, legal, security, financial, audit, backup, or regulatory retention obligations may continue after termination.
27. Data Following Termination
Where reasonably applicable and subject to the Customer's agreement, Celia Med may provide a healthcare organisation with an opportunity to retrieve or export its information following termination.
After an applicable transition or retention period, Celia Med may remove Customer Data from active systems in accordance with:
- the applicable agreement;
- applicable law;
- healthcare-record obligations;
- security requirements; and
- backup-retention procedures.
Healthcare organisations are responsible for establishing appropriate data-transition arrangements before ceasing use of Celia Med.
28. Suspension of Access
Celia Med may temporarily suspend or restrict access where reasonably necessary because of:
- suspected account compromise;
- unlawful activity;
- significant security risk;
- material violation of these Terms;
- misuse affecting another customer;
- non-payment where applicable;
- regulatory requirements; or
- circumstances that threaten the stability or security of the platform.
Where reasonably possible and appropriate, Celia Med will seek to minimise unnecessary disruption to healthcare operations.
29. Termination
A healthcare organisation or Celia Med may terminate the Services in accordance with the applicable subscription or written agreement.
Individual user access may also be terminated or disabled by the healthcare organisation responsible for that account.
Provisions concerning:
- intellectual property;
- confidentiality;
- data protection;
- outstanding payment obligations;
- limitation of liability;
- dispute resolution;
- audit information; and
- other provisions intended by their nature to survive
may continue after termination.
30. Intellectual Property
Celia Med and its licensors retain all rights, title, and interest in the Celia Med platform and related intellectual property.
This includes, where applicable:
- software;
- source code;
- interfaces;
- application design;
- documentation;
- trademarks;
- logos;
- workflows;
- APIs;
- proprietary technology; and
- related materials.
Using Celia Med does not transfer ownership of Celia Med's intellectual property to a Customer or user.
Subject to the applicable agreement, Celia Med grants authorised users a limited, non-exclusive, non-transferable right to use the Services for their intended purposes during the applicable subscription period.
31. Customer Content
Healthcare organisations and authorised users retain their rights in content and information they lawfully provide through Celia Med.
Users must not upload content that:
- they have no authority to use;
- infringes another person's rights;
- contains unlawful material;
- contains malicious software; or
- otherwise violates these Terms.
32. Feedback
If you provide suggestions, ideas, or feedback about Celia Med, you allow us to use that feedback to improve our Services without an obligation to compensate you.
This does not give Celia Med ownership of patient medical records, confidential Customer Data, or other information protected by applicable law or contract.
33. Confidentiality
Healthcare and business information processed through Celia Med may be confidential.
Users must protect confidential information and disclose it only where properly authorised.
Patient information must be treated in accordance with applicable healthcare-confidentiality, privacy, and professional requirements.
Separate confidentiality obligations may also apply under a healthcare organisation's agreement with Celia Med.
34. Artificial Intelligence and Automated Features
Celia Med may introduce artificial-intelligence, automation, or decision-support functionality as the platform develops.
Unless Celia Med expressly states otherwise for a particular feature:
- automated output is assistive;
- generated information may contain errors;
- healthcare professionals should appropriately review clinically relevant output;
- automated output does not replace professional judgment; and
- users remain responsible for decisions that require professional healthcare expertise.
Additional terms or notices may apply when specific AI-enabled functionality is made available.
35. Updates to the Services
Celia Med may update, improve, modify, or replace parts of the Services.
Changes may be made to:
- improve security;
- fix defects;
- improve performance;
- introduce new functionality;
- comply with legal requirements;
- improve usability; or
- maintain compatibility with third-party systems.
Where a material change significantly affects a paid Customer's contracted service, the applicable agreement will govern any notice requirements.
36. Beta, Pilot, and Preview Features
Some functionality may be made available as:
- beta;
- pilot;
- preview;
- experimental; or
- early-access functionality.
Such features may:
- contain defects;
- change without notice;
- have limited functionality; or
- be discontinued.
Unless Celia Med expressly confirms otherwise, experimental functionality should not be relied upon as the sole basis for safety-critical clinical decisions.
37. Disclaimer of Warranties
To the extent permitted by applicable law, Celia Med provides the Services subject to the terms and warranties expressly set out in these Terms or an applicable written agreement.
Except where expressly provided, Celia Med does not guarantee that:
- the Services will always be uninterrupted;
- every software defect will be detected;
- every clinical error will be identified;
- every alert or notification will be generated or delivered;
- every third-party integration will remain available;
- every item of information entered by users will be accurate; or
- the Services will eliminate all healthcare or administrative errors.
Nothing in this section limits warranties that cannot legally be excluded.
38. Limitation of Liability
To the maximum extent permitted by applicable law and subject to any separate written agreement, Celia Med will not be liable for indirect, incidental, special, consequential, or punitive losses arising from use of the Services.
A separate Customer agreement may specify an aggregate liability limit applicable to paid Services.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law.
Nothing in these Terms is intended to exclude responsibility for Celia Med's own fraud, wilful misconduct, or other liability that cannot lawfully be excluded.
39. Clinical Responsibility
Healthcare organisations and healthcare professionals remain responsible for the healthcare decisions and services they provide.
Subject to applicable law, Celia Med is not responsible for an adverse healthcare outcome solely because:
- incorrect information was entered by a user;
- information was not reviewed by an appropriate healthcare professional;
- staff failed to follow applicable clinical procedures;
- a healthcare organisation improperly configured user permissions;
- a user ignored relevant information or warnings;
- a third-party system failed;
- the Services were used outside their intended purpose; or
- a healthcare organisation failed to maintain appropriate downtime or emergency procedures.
This section does not exclude responsibility where an adverse outcome is legally attributable to Celia Med's own conduct.
40. Indemnification
Where permitted by law and subject to any applicable written agreement, a healthcare organisation may be responsible for claims arising from:
- its unlawful use of Celia Med;
- unauthorised disclosure caused by its personnel;
- improper access granted by the organisation;
- violation of applicable law;
- content supplied by the organisation that infringes third-party rights; or
- use of Celia Med outside the authorised scope.
More detailed indemnification terms may be included in enterprise or hospital agreements.
41. Governing Law
Unless a separate written agreement provides otherwise, these Terms are governed by the laws of the Federal Republic of Nigeria.
42. Dispute Resolution
If a dispute arises relating to Celia Med, the parties should first attempt in good faith to resolve the matter through direct communication.
Where a dispute cannot be resolved informally, the applicable Customer agreement may provide for:
- mediation;
- arbitration; or
- proceedings before a court of competent jurisdiction.
Nothing in these Terms prevents an individual from exercising rights before a competent regulatory or data-protection authority where applicable.
43. Changes to These Terms
Celia Med may update these Terms from time to time to reflect:
- changes to the Services;
- changes in law;
- new functionality;
- security requirements; or
- operational changes.
The latest version will display its effective date and last-updated date.
Where a material change significantly affects users or Customers, Celia Med may provide additional notice where appropriate.
44. Severability
If any provision of these Terms is found to be unlawful, invalid, or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
45. No Waiver
If Celia Med does not immediately enforce a provision of these Terms, this does not mean that Celia Med has permanently waived the right to enforce that provision.
46. Entire Agreement
These Terms, together with the applicable:
- Privacy Policy;
- Cookie Policy;
- subscription agreement;
- order form;
- Data Processing Agreement; and
- other written terms agreed between Celia Med and a Customer,
form the applicable agreement governing use of the Services.
Where a signed written agreement expressly conflicts with these Terms, that written agreement will prevail to the extent specified in it.
